AGREEMENT TO OFFICIAL RULES
By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

TERM
The GoRecess Spartan Race & Health Warrior Sweepstakes (“GoRecess Spartan Race & Health Warrior Sweepstakes” or the “Sweepstakes”) begins Tuesday, September 3, 2013 and ends Wednesday, September 18, 2013. All entries must be made via entry on the official Sweepstakes entry page on Facebook.  Entries and all information and data related thereto become the property of Sponsor.

WHO MAY ENTER 
Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of September 3, 2013. Employees of GoRecess, Inc., Spartan Race, Inc., Health Warrior, Inc., their respective affiliates, subsidiaries, advertising or promotion agencies, and their immediate family members and/or those living in the same household of each are not eligible

HOW TO ENTER
To enter the Sweepstakes, entrants must complete and submit the entry form on the Sweepstakes Entry page that includes their name, email and agreement that they have read and understand these rule and all other terms and conditions. The Sweepstakes starts at 1:30:00 p.m. Eastern Daylight Time (“EDT”) beginning on September 3, 2013 and all entries must be received by 12:00:00 p.m. EDT on September 18, 2013 in order to be eligible (“Sweepstakes Period”).  The Sponsor interprets the official time-keeping device for the Sweepstakes.

Eligible Entrants can enter the Sweepstakes through the Facebook application described below. If a prospective Entrant is not already a member of Facebook, he/she may visit www.facebook.com and follow the links and instructions to become a member.

Once the eligible Entrant has become an active Facebook member, they have the opportunity to enter the Sweepstakes by visiting http://www.facebook.com/gorecess (the “Website”). At the Website, Entrants will be instructed to “like” the page, and follow the links and instructions to complete the Sweepstakes registration form accessible on the Sweepstakes tab. Once the Entrant has completed the Sweepstakes, the Entrant is automatically entered into the Sweepstakes. 

Bonus Entries: Entrants who follow the steps outlined above to receive an initial entry may also earn bonus entries (each, a “Bonus Entry”) by inviting friends (each, a “Friend”) to the Fan Page to participate in the Sweepstakes. Bonus Entries may be obtained by “Sharing via your Wall” (on Facebook). Entrants will receive five (5) Bonus Entries into the drawing for each Friend who subsequently entered the Sweepstakes through the “Shared" wall post.

IMPORTANT: IN ORDER TO RECEIVE BONUS ENTRIES, THE FRIEND(S) WHO LEARNED OF THE SWEEPSTAKES VIA YOUR WALL POST MUST ALSO BE ELIGIBLE AS PER THESE OFFICIAL RULES AND ENTER THE SWEEPSTAKES BY FOLLOWING THE STEPS FOR HIM/HER TO RECEIVE AN INITIAL ENTRY. IF A FRIEND WHO LEARNED OF THE SWEEPSTAKES VIA YOUR WALL POST IS NOT ELIGIBLE OR DOES NOT ENTER THE SWEEPSTAKES BY FOLLOWING THE STEPS TO RECEIVE AN INITIAL ENTRY, A BONUS ENTRY WILL NOT BE AWARDED TO YOU FOR THAT FRIEND. BE SURE TO OBTAIN THE CONSENT OF YOUR FRIEND BEFORE YOU INVITE THEM TO PARTICIPATE IN THE SWEEPSTAKES.

Bonus Entries will NOT be provided if the Sponsor determines, in their sole discretion, that
(a)    A Friend’s email address or Facebook Profile is not valid;
(b)    The Friend’s email address or Facebook Profile was not provided in accordance with these official Sweepstakes rules; or
(c)    Another person who previously submitted an (initial) entry already received a Bonus Entry by inviting that Friend to enter the Sweepstakes.

Entrants will also receive five (5) Bonus Entries for each of the following Facebook pages that they “like” on Facebook: https://www.facebook.com/HealthWarriorChia and entering the Bonus Entry Code provided. If the Entrant had already Liked such pages prior to entering the Sweepstakes, they will need to visit those Facebook pages in order to receive the Bonus Entry Codes to enter (at which point, they will receive the applicable Bonus Entries).

The Sponsor is not responsible for late, incomplete, misdirected, or delayed entries.  Incomplete information, as determined by the Sponsor in their sole discretion, may result in disqualification of entry. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified.  Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.  No mechanical reproductions or facsimiles of entries allowed. All entries (and information contained therein) become the exclusive property of Sponsor and will not be acknowledged or returned.

PRIZE
One (1) winner (“Winner”) will receive one (1) prize (“Prize”) consisting of: 

• Two (2) entry codes to be redeemed for any open heat in any official 2013-2014 Spartan Race being held in the Continental United States to be utilized by Winner and his/her race companion.  See http://www.spartanrace.com/ for event locations and dates.  Entry codes are available for one-time use only.  Excludes the elite, hurricane, confirmed start time waves and Ultra Beast event.
• Two (2) boxes of Health Warrior Chia Bars and two (2) bags of Health Warrior Chia Seeds 

Prize is not transferable or redeemable for cash and is not combinable with any other promotion.  Prize excludes transportation to and from the race and is subject to availability, as determined by Spartan Race in its sole discretion.  No extension will be given after the prize has expired (due to the selected Spartan Race having occurred). Approximate retail value: up to $240.00 per person, a total estimated combined retail value of $480.00 for the Winner and a race companion.  Sponsor reserves the right to substitute prize with one of equal or greater value.   

Spartan Race reserves the right to modify or change its venues, dates, register company, timing company, start times, prizes, courses, fees, number/size/type of waves, results algorithms, merchandise, and any other event details, website content or policies as it sees fit or as needed with no prior advanced notice. You agree to these terms upon registering for the Sweepstakes, and in connection with any use of the Spartan Race website.  Check back often as it is not uncommon your races event page will get updated more current information than seen when you registered as the race gets closer.

WINNER SELECTION / RANDOM DRAWING / PRIZE AWARDING
Winner will be selected in a random drawing to be held on or about September 18, 2013, from among all eligible entries received. The random drawing will be conducted by representatives from GoRecess, Inc. whose decisions are final and binding in all respects relating to this Sweepstakes. Odds of winning the Prize depend upon the total number of eligible entries received. Winner will be notified by telephone, email, or Facebook message no later than September 30, 2013.  Sponsor will make two (2) attempts to notify the Winner at the email address submitted at the time of entry.  If Winner cannot be reached, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification or prize correspondence is returned as undeliverable, Winner will be disqualified and, conditions permitting, an alternate Winner may be selected in a random drawing from among the remaining eligible Entries, at Sponsor's sole discretion.

No prize transfer, assignment or substitution by Winner permitted. Sponsor reserves the right to substitute any prize in the case of unavailability, in which case a prize of equal or greater value, determined in Sponsor’s reasonable discretion, will be awarded.  If a Prize element is not available for any reason, as determined by Sponsor in its sole discretion, the remaining elements of Prize shall be awarded and shall constitute full satisfaction of Sponsor's Prize obligation to Winner and no additional compensation will be awarded.  Additional restrictions may apply.  Winner acknowledges that accepting any portion of Prize shall constitute full satisfaction of Sponsor's Prize obligation to Winner and no additional compensation will be awarded. Sponsor will determine all details of Prize in its sole discretion.

If Prize is unclaimed within a reasonable time after notification from Sponsor, as determined by Sponsor in its sole discretion, it will be forfeited, and time permitting, an alternate Winner may be selected from the remaining eligible Entries at Sponsor's sole discretion.

Winner represents that they recognize that such risks may be present at any time before, during and after the Sweepstakes and the applicable race, and that the Sponsor is not responsible for any consequences of any such risk. In order to be considered a Winner and partake of the enjoyment of the Prize, potential Winner must be willing to accept the risk, and by entering the Sweepstakes, such potential Winner is deemed to have confirmed their acceptance to such risk in writing. Taxes, insurance, equipment, and all other expenses associated with entry into the Sweepstakes that are not stated herein are the sole responsibility of each Winner and his/her race companion. All Prize details are at Sponsor’s sole discretion.

REDEEMING THE PRIZE
THE WINNER AND SELECTED RACE COMPANION ARE REQUIRED TO EXECUTE THE FOLLOWING:

1. AN AFFIDAVIT OF ELIGIBILITY AND LIABILITY RELEASE;
2. PUBLICITY RELEASE; AND
3. ANY OTHER AFFIDAVITS AND/OR RELEASES OR ADDITIONAL DOCUMENTS THAT MAY BE REQUIRED BY SPONSOR.

UNLESS PROHIBITED BY LAW, THE WINNER MUST SIGN THESE DOCUMENTS NO LATER THAN SEVEN (7) BUSINESS DAYS FROM THE DATE OF ATTEMPTED PRIZE NOTIFICATION IN ORDER FOR SPONSOR TO AWARD THE PRIZE.  NONCOMPLIANCE OR RETURN OF PRIZE NOTIFICATION AS UNDELIVERABLE MAY RESULT IN DISQUALIFICATION AND, AT SPONSORS’ DISCRETION, SELECTION OF AN ALTERNATE WINNER.

One winner will be selected for the prize. Dates are subject to the discretion of Sponsor.

ENTRANT LICENSES / RELEASES / PRIVACY
By accepting Prize, Winner consents that Sponsor may use personal information of the Winner throughout the world in perpetuity (including without limitation such person’s name, photographs or other likenesses, the Winner’s hometown and biographical information, statements concerning the contest entry, or Sponsors’ products) without compensation, notification, permission, or approval, in each case for purposes of advertising, promotion, publicity, and merchandising, and Winner grants all rights to edit or modify and to publish and copyright any such information and materials.  

Any personal information supplied by Entrants will be subject to the privacy policies of Facebook and the Sponsors as well as these Official Rules.

By participating in this Sweepstakes, entrants agree to abide by and be bound by these Official Rules and understand that the Sweepstakes results are final in all respects. Entrant shall abide by all applicable Facebook terms and conditions, and is responsible for all online charges incurred by Internet Service Provider.

GENERAL CONDITIONS
If for any reason the operation or administration of this Sweepstakes is impaired or incapable of running as planned for any reason, including but not limited to (a) infection by computer virus, bugs, (b) tampering, unauthorized intervention, (c) fraud, (d) technical failures, or (e) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules. Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Sweepstakes or Sponsor’s Website; or (b) acting in violation of (x) any Facebook term or condition, (y) these Official Rules or (z) in an unsportsmanlike or disruptive manner.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING WITHOUT LIMITATION ANY SITE OWNED OR OPERATED BY ANY SPONSOR OR FACEBOOK) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of a prize Winner based on an email address, the winning entry will be declared by the authorized account holder of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

The failure of Sponsor to comply with any provision of these Official Rules due to circumstances or causes beyond its reasonable control (including but not limited to fire or other casualty; storm, flood, earthquake or other act of God; failure of telecommunications services, public utilities or an Internet brown out; strike, lockout or other labor dispute; war, act of the public enemy, rebellion, insurrection, riot, invasion or other violence; or any act or omissions of any government or any officer, department, agency or instrument thereof) will not be considered a breach of these Official Rules.

RELEASE AND LIMITATIONS OF LIABILITY
By participating in the Sweepstakes, Entrants agree to release and hold harmless the Sponsor, the Administrator, their respective parents, officers, directors, employees, agents, subsidiaries, affiliates, distributors, sales representatives, advertising and promotional agencies (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an Entrant from submitting an entry; (b) unauthorized human intervention in the Sweepstakes; (c) printing errors; (d) errors in the administration of the Sweepstakes or the processing of entries; or (e) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt of any prize. Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to Entrant's or any other person's property relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes.  For avoidance of doubt, the indemnity contained herein shall be in addition to all terms and conditions that Winner and his/her race companion shall be required to agree to by Sponsor in connection with the applicable race. 

Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

CONDITIONS
THIS SWEEPSTAKES IS VOID IN GUAM, PUERTO RICO, CANADA AND WHERE PROHIBITED OR RESTRICTED BY LAW. This Sweepstakes is subject to federal, state, and local laws and regulations, including tax laws. Certain restrictions may apply. Participants also agree to be bound by these Official Rules. All federal, state and local taxes, fees and surcharges on prizes are the sole responsibility of the prize winners. In the event that the selected winner(s) of any prize are/is ineligible or refuses the prize, the prize will be forfeited and Sponsor, in its sole discretion, may choose whether to award the prize to another winner.

NOTICE TO INDIVIDUALS
OPT-IN:  Any information entrants provide to the Sponsor will be used to communicate with entrant in relation to these Sweepstakes.  Sponsor may also share this information with third parties.  Sponsor, its affiliates or third parties may contact entrants at a future date about services the Sponsor, or such affiliate or third parties believe entrants will find of interest.

DISPUTES
Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Facebook. You understand that you are providing your information to the Sponsor and not to Facebook.
